Summary

When a corporation liquidates, there are certain liquidating procedures that must occur at the corporate level that will impact both the corporation and its shareholders. This webinar discusses the steps to liquidate both C corporations and S corporations. We’ll review the concepts that apply to both, then the specifics for each separate entity type. In addition, we’ll address the sale or distribution of the corporate assets, treatment of any remaining tax attributions such as net operating losses (NOLs), the final liquidating distributions to the shareholders, and the tax impact and reporting responsibilities to the shareholder(s).
