Tax-Related Positions Available- VICE PRESIDENT–TAX -New York City
Located in New York City, our client is one of the world's leading investment and advisory firms. They seek to create positive economic impact and long-term value for their investors, the companies they invest in, the companies they advise and the broader global economy. They do this through the commitment of their extraordinary people and flexible capital. Their alternative asset management businesses include the management of private equity funds, real estate funds, funds of hedge funds, credit oriented funds, collateralized loan obligation vehicles (CLOs) and closed-end mutual funds. The firm also provides various financial advisory services, including mergers and acquisitions advisory, restructuring and reorganization advisory and fund placement services. This position reports directly to the Senior Vice President of Tax, but will interact with all members of this small but elite tax group. In addition, the position will interface with the various investment, advisory and business groups throughout the organization. This is a newly created position that will have initial focus and emphasis on domestic and international tax compliance, as well as research and planning for partnership entities. As a hands-on working manager, will direct a professional staff, in a position that encompass a wide spectrum of responsibilities with specific emphasis for the following: *Direct all domestic and foreign aspects required for the timely and accurate preparation and filing of all federal, state and local income tax returns including, the compilation of tax data for tax return preparation and the review of allocations, K-1 information and tax returns. *Perform complex allocations of Income/Debt. *Track book/tax differences. *Track partnership/partner tax bases. *Perform partnership/partner level tax planning and forecasting including, interim year partnership projections and allocations to assist the Firm's partners with making quarterly estimated tax payments. *US reporting of foreign investments and reporting of US investments held by Non-US citizens. *Maintain tax calendar for numerous multi-tiered partnership structures. *Respond to tax authority requests and supervision of audits. *Interact with tax advisors and answer questions as it relates to the 100+ partners/owners. *Research tax issues and advise management accordingly. *Directly manage and mentor a professional staff. EXPERIENCE: *Heavy concentration in partnership taxation. *Must have relevant tax experience working with partnership structures and investment/financial products. *Knowledge of partnership planning on an organizational as well as individual basis. *Aware of foreign tax credits in a flow-through structure. *Must be a CPA. Headquartered in Boston, but with offices in 23 countries, we have been a driving force in international private equity for more than two decades. Our focus is on international buyouts, strategic restructuring opportunities, and growth buyouts. The corporate entity is a complex, global institution with 16 subsidiaries worldwide. The firm acts as the General Partner on all funds and is therefore responsible for the accounting, reporting, valuation, legal filings and other functions that are typical domain of a General Partner. The corporate entity is responsible for the calculation and allocation of carried interest and other highly technical and sensitive aspects of managing the funds. The corporate parent also administers the myriad of compensation structures associated with the funds. This position reports directly to the senior executive of the Tax Group, but will have significant interaction with the CFO, other Tax Directors in the US and London, advisors and deal teams. This is a highly complex, multi-facet position with multiple areas of responsibility that include both recurring obligations along with special projects in the domestic and international sectors. One must gain insight into the nuances of the organization, which will allow hands-on management of all global tax issues. Will have hands-on responsibility for four distinct areas within the Tax Group. These include Global Operations, Management Company, General Partner Carry and Co-Investment. There will be an initial focus and emphasis on taking control of the domestic and international tax compliance functions as well. Supported by a professional and dedicated staff, this is a newly created position: Global Operations: In this capacity, the Director will take a global perspective of ongoing tax considerations to worldwide issues. Functioning in a hands-on capacity, the Director will give insight and guidance to these global tax issues, much of which will be special project oriented. These could include, but are not limited to the following: Ongoing management company subsidiary and local office tax issues, structure analysis, transfer pricing studies, advisory agreements with subsidiaries, global compensation related issues, permanent establishment analysis and polices, review and approve subsidiary tax returns & provisions, tax payroll issues, involvement with profit share calculations and forecasts, oversee UK employee tax reporting and any other country where employee information is required, fund holding vehicles reporting obligations, coordination of dual contract with carry issues, and coordination with tax advisors as required to resolve employee related tax issues and give assistance. Management Company: *Direct all domestic and foreign aspects required for the timely and accurate preparation and filing of all federal, state and local income tax returns. *Financial statements (tax basis) *Investment work. *Tax provision work papers. *Tax return preparation, including US foreign compliance filings. (Forms 5471, 8865, 8858, etc.) *Quarterly tax payments and the maintaining of the tax calendar. *Annual filings and projects as required (i.e. property tax, annual reports, etc.) *FBAR reporting. General Partner Carry: *Oversight of all GP carry related US tax filings, including tax work papers, tax returns and Schedule K-1 preparation for approximately 40 entities. *Manage partnership tax basis allocations, capital accounts, and other partnership issues and their impact. *Participation in distribution process from a tax perspective. *Involvement in year-end GP income estimates and related cash distributions. *US tax foreign compliance reporting obligations for both GP entities and employees. *Respond to employee's questions regarding carry. CO-INVESTMENT ENTITIES: *Oversight of all co-investment related US tax work. *Tax work paper, tax return and Schedule K-1 preparation for the approximate 22 co-invest entities. *Calculation of quarterly income estimates for partners *FDAPI filings for co-investment entities. *FDAPI filings for firm managed funds. *Communications and assistance with employees as required. EXPERIENCE: *Heavy partnership exposure in the private equity arena, including tax capital account maintenance, tax basis issues and income allocations. *Relevant international tax exposure for all US and local country tax aspects of an international organization, including subsidiary operations, compensation arrangements, and structuring considerations. *Exposure to the international area and US tax reporting obligations thereon is critical. *Competent in the methodology of partnership allocation of carry and its impact. *Sufficient US tax partnership and foreign compliance experience to carry out the mandated responsibilities of the position, gained either in Public Accounting and/or a combination of both Public Accounting and private industry. *CPA and/or a graduate degree preferred.
